Terms & Conditions

Effective Date: September 25, 2026

These Terms & Conditions apply to CallDepo LLC ("CallDepo") services and are incorporated into the Customer Service Agreement. No separate signature is required for this Exhibit.

1. CallDepo Services

CallDepo provides AI-powered and automated receptionist, call-handling, scheduling, customer communication, and related business support services. Available features depend on the customer's configured service plan, instructions, integrations, and systems that have been configured and tested.

2. AI and Automated Technology

CallDepo uses artificial intelligence and other automated technologies. These systems may occasionally misunderstand a caller, provide an unintended response, or experience delays, outages, or technical errors. CallDepo does not guarantee uninterrupted or error-free operation.

3. Customer Instructions and Responsibilities

The customer is responsible for providing accurate and current business information, service details, hours, service areas, scheduling rules, pricing information, emergency procedures, contact information, disclosures, and other instructions needed to configure the service. The customer remains responsible for its underlying business, employees, contractors, customer-service decisions, licenses, permits, warranties, and compliance obligations.

4. Appointments and Third-Party Services

Scheduling, telephony, payment, messaging, calendar, mapping, and other functions may rely on third-party services. CallDepo does not control those third-party systems and is not responsible for their independent outages, errors, policies, or changes. An appointment is not confirmed unless the applicable configured scheduling system successfully completes the booking.

5. Emergencies

CallDepo is not an emergency service, medical provider, fire department, utility, 911 service, or licensed trade professional. Callers facing immediate danger may be instructed to contact emergency services or the appropriate utility. CallDepo does not provide diagnosis, repair instructions, or emergency dispatch unless specifically configured and legally appropriate.

6. SMS/Text Messaging

Where SMS is enabled, CallDepo may send service-related text messages such as appointment confirmations, scheduling updates, requested information, directions, callback information, and other customer-care communications. Message frequency varies. Message and data rates may apply. Recipients may reply STOP to opt out and HELP for help. Consent to receive text messages is not a condition of purchase. Wireless carriers are not liable for delayed or undelivered messages.

7. Calls, Recordings, Transcripts, and Notices

Calls handled through CallDepo may be processed, recorded, transcribed, summarized, or analyzed when configured for the service. The customer is responsible for providing or approving notices and obtaining consents required by applicable law for recording, monitoring, transcription, automated technology, or AI use. CallDepo will follow configured disclosure language.

8. Fees and Payment

CallDepo service plans require a 12-month commitment and are billed monthly at the rate stated in the Customer Service Agreement or an accepted written order. During the first 60 calendar days after service activation, the Customer may cancel without an early cancellation fee. After the first 60 calendar days, early cancellation is subject to a $99 fee. In either case, service remains active through the end of the monthly billing period already paid for unless otherwise agreed in writing. No future monthly subscription charges are due after service ends, except for outstanding usage or other charges already incurred. The customer authorizes CallDepo and its payment processor to collect properly due charges in accordance with the agreement.

9. Service Availability and Changes

CallDepo may update or modify its technology, vendors, integrations, or operational processes. CallDepo will use reasonable efforts to maintain service, but telephone, internet, AI, messaging, scheduling, payment, and other third-party systems may experience interruptions.

10. Acceptable Use

The customer may not use CallDepo for unlawful, fraudulent, abusive, deceptive, harassing, infringing, or unauthorized activity. CallDepo may suspend or discontinue service for misuse, unlawful activity, security concerns, safety concerns, or nonpayment as provided in the Customer Service Agreement.

11. Intellectual Property

CallDepo retains its rights in its website, brand, service design, workflows, prompts, software, documentation, and other proprietary materials. The customer retains its rights in its own business names, trademarks, content, and information provided to CallDepo.

12. Disclaimers and Limitation

CallDepo provides a technology-assisted call-handling service and does not guarantee that every call will be answered, understood, converted into an appointment, or result in a paying customer. To the extent permitted by applicable law, CallDepo is not responsible for indirect, incidental, special, consequential, or lost-profit damages arising from service interruptions, automated-system errors, third-party services, or customer-provided information.

13. Privacy

CallDepo's handling of personal information is also described in Exhibit B - Privacy Policy and at calldepo.com/privacy/.

14. Updates and Contact

CallDepo may update these Terms & Conditions from time to time. Material changes affecting an active customer's service will be communicated as appropriate. Questions may be sent to hello@calldepo.com.
